Terms of Service (TOS)

1. Scope

These Terms apply to all intellectual services provided by Evati(k)a / Bruce BORGNA.

2. Services

IT consulting, development, integration, Power Platform, audit, analysis, training.
Best-effort obligation, not a results obligation.

3. Orders

Each service requires a quotation or written proposal.
Validation occurs via signature, email, or digital confirmation.

4. Pricing & Invoicing

Prices in euros.
VAT not applicable under French law (Article 293 B of the CGI).
Billing may be hourly, daily, or fixed-price.
Payment terms: 30 days.

5. Late Payments

• penalties: 3× the French legal interest rate ;
• fixed recovery fee: €40.

6. Obligations

Provider

• professional execution,
• timely communication,
• confidentiality.

Client

• provide accurate information,
• validate deliverables,
• own rights to supplied materials.

7. Intellectual Property

Work remains the provider’s property until full payment.
Usage rights limited to those stated in the quotation.
Internal tools, libraries and components remain the provider’s property.

8. Confidentiality

All exchanged information is confidential.

9. Liability

Liability limited to proven direct damages.
No liability for data loss, lost revenue or indirect damages.

10. Termination

Possible in case of serious breach or mutual agreement.
Work already carried out remains due.

11. Governing Law

French law applies.
Competent court: Tribunal of Manosque.
